Terms and Conditions of Sale

1. Definitions

Seller: Precision Component Services Limited, Unit C3 Brearley Place, Baird Road, Waterwells Business Park, Quedgeley, Gloucester, GL2 2AF.

Buyer: The person/company who buys or agrees to buy the Goods and/or Services from the Seller.

Conditions: The terms and conditions of sale as set out in this document and any special terms and conditions agreed in writing by the Seller.

Goods: The items which the Buyer agrees to buy from the Seller as set out in the Order.

Price: The price for the Goods, excluding VAT and any carriage, packaging and insurance costs.

2. Conditions

2.1. These Conditions shall form the basis of the contract between the Seller and the Buyer to the exclusion of all other terms and conditions.

2.2. All orders shall be deemed an offer by the Buyer to purchase pursuant to these Conditions.

2.3. Acceptance of delivery or commencement of Services shall be deemed conclusive evidence of the Buyer’s acceptance of these Conditions.

3. Price

3.1. The Price shall be the price quoted on the Quotation (E&OE).

3.2. All prices are valid for 30 days only from the date of quotation.

4. Payment

4.2. Payment of the price and VAT is due in cleared funds within 30 days of the date of the invoice. Time for payment will be of the essence.

4.3. Late payments may incur interest and collection costs as defined in the Late Payment of Commercial Debts (Interest) Act 1998.

5. Goods

5.1. It is the Buyer’s responsibility to ensure that the details in the order confirmation are correct before accepting.

6. Delivery

6.2. The Seller will use reasonable endeavours to despatch on the agreed date, but time of delivery shall not be of the essence.

6.3. The Seller shall not be liable for any loss arising from late or short delivery.

7. Acceptance

7.1. The Buyer shall be deemed to have accepted the Goods 5 days after delivery.

7.2. Throrough inspection must be carried out within 3 days of receipt.

8. Title and Risk

8.1. Risk passes on delivery/collection.

8.3. Title remains with the Seller until the invoice is paid in full.

10. Termination

10.1. Either party may terminate the Contract by giving not less than 3 months' written notice.

10.3. The Seller may terminate immediately if the Buyer fails to pay any amount due on the due date.

11. Force Majeure

11.1. The Company shall not be responsible for loss arising from acts of God, machinery breakdown, or circumstances beyond reasonable control.

12. General

12.7. Governing Law: This agreement shall be governed by and construed in accordance with the law of England and Wales.

12.8. Jurisdiction: Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction.
